Part A – General terms and conditions for consumers
§ 1 Scope and contracting party
(1) These terms apply to all contracts that consumers (“you”) conclude with us through our online shop. A consumer is anyone who concludes a transaction that is not part of the operation of their business (§ 1 of the Austrian Consumer Protection Act, KSchG).
(2) Your contracting party is:
Robitronic Electronic GmbH
Pfarrgasse 50
1230 Wien
Austria
Phone: +43 1 982 09 20
E-mail: esales@robitronic.com
Company register FN 680712 y, Commercial Court of Vienna, VAT ID ATU83443828 (“we”).
(3) Part B applies to businesses.
§ 2 Conclusion of the contract, contract languages, contract text
(1) The presentation of products in the online shop is not a binding offer but an invitation to order from us.
(2) You place products in the cart, enter your billing and delivery address in the checkout and choose the shipping and payment method. Before submitting, you see an overview of all products, quantities, prices, shipping costs, VAT and the total; you can correct input errors there and in the previous steps at any time. By clicking the button “Order with obligation to pay” you make a binding offer to buy the products in the cart.
(3) We confirm receipt of your order by e-mail without delay. This confirmation of receipt is not yet an acceptance of your offer.
(4) The contract is concluded when we accept your offer: for payment through our payment service provider Stripe, with the successful completion of the payment at the end of the ordering process; for other payment methods we have enabled for your customer account, with our invoice or the dispatch of the goods. If the payment cannot be completed, no contract is concluded.
(5) You can conclude the contract in German, English, French or Italian – in the language in which you use the shop.
(6) We store the contract text. You receive the details of your order with the confirmation of receipt; in your customer account you can see your orders under “My account”. You can view, save and print these terms here at any time; we record which version you accepted with your order.
(7) You can only order with a customer account. Please keep your password secret.
§ 3 Prices and shipping costs
(1) Our prices are final prices in euros. They are the same in every delivery country; for deliveries within the EU they include the VAT of the delivery country.
(2) Shipping costs for your delivery country are added (Shipping & payment). You see the total including shipping costs and VAT in the cart and before submitting your order.
(3) Deliveries to countries outside the EU are exempt from VAT; customs duties, import VAT and carrier fees may arise there, which you bear.
(4) We do not charge any fee for using a particular payment method.
§ 4 Payment
(1) You pay through our payment service provider Stripe (Stripe Payments Europe, Ltd., Ireland). The payment step shows which means of payment are available. The amount is charged when the order is completed.
(2) If we have enabled another payment method for your customer account, the conditions stated in the ordering process and on our invoice apply. With prepayment we ship the goods once the payment has been received.
(3) We make refunds using the means of payment you paid with.
§ 5 Delivery
(1) We deliver to the countries that can be chosen as the delivery country in the shop.
(2) You can order items in stock while stocks last. The shop shows a stock status for every item, but no quantities; if the quantity you want is not in stock, the ordering process does not accept it.
(3) We usually ship items in stock the same day if you order Monday to Friday (except on Austrian public holidays) by 12:00 noon, otherwise on the next working day; the carrier's transit time per delivery country is added (Shipping & payment). Unless we have stated a different delivery period, we deliver no later than 30 days after the conclusion of the contract.
(4) Pickup in Vienna is only available to customers for whose account we have enabled it.
(5) The risk passes to you as soon as the goods are delivered to you or to a third party named by you who is not the carrier.
(6) If a parcel is visibly damaged, please report it to the carrier and to us as soon as possible – this allows us to claim the damage from the carrier. Your statutory rights remain unaffected.
§ 6 Right of withdrawal
(1) As a consumer you have a statutory right of withdrawal of 14 days for distance contracts. The instructions, the exceptions and the model withdrawal form are under Right of withdrawal.
(2) You can also withdraw online: with the function “Withdraw from contract”, without logging in.
(3) After a withdrawal you bear the direct cost of returning the goods. We refund the purchase price and the cost of the original delivery (standard shipping) according to the withdrawal instructions.
§ 7 Legal guarantee and commercial guarantee
(1) The statutory legal guarantee under the Austrian Consumer Warranty Act (VGG) applies: we are liable for defects existing at the time of delivery for two years from delivery. Details under Warranty & guarantee.
(2) Manufacturers' guarantees apply in addition to your statutory rights and do not limit them.
§ 8 Liability
(1) We are liable for damage we cause intentionally or through gross negligence. For slight negligence we are only liable for personal injury.
(2) Liability under the Austrian Product Liability Act and your warranty rights remain unaffected.
§ 9 Retention of title
(1) The goods remain our property until paid in full.
§ 10 Waste electrical equipment and batteries
(1) Electrical and electronic equipment, batteries and rechargeable batteries do not belong in household waste – the crossed-out wheeled bin symbol indicates this. You can hand them in free of charge at municipal collection points.
(2) Remove batteries before handing in equipment where this is possible without destroying it, and delete personal data on old devices yourself. Please hand in lithium batteries only discharged or with taped poles.
§ 11 Data protection
How we process your data is explained in the privacy policy.
§ 12 Applicable law, jurisdiction, complaints
(1) Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules. If your habitual residence is in another country, you keep the protection of that country's mandatory consumer protection provisions.
(2) Actions against you may be brought before the court at your domicile, habitual residence or place of employment where the law so provides (§ 14 KSchG); your statutory places of jurisdiction remain unaffected.
(3) Please send complaints to esales@robitronic.com or through the contact form under Help & contact.
Part B – General terms and conditions for businesses
§ 1 Scope
(1) Part B applies to all contracts with businesses – business customers and dealers (“customer”) – concluded through our online shop. The contracting party is Robitronic Electronic GmbH, Pfarrgasse 50, 1230 Vienna, Austria, company register FN 680712 y, VAT ID ATU83443828.
(2) These terms apply exclusively. The customer's purchasing or other terms do not apply, even if we do not expressly object to them. Individual written agreements (such as dealer conditions or payment terms) take precedence over these terms.
(3) With a business customer or dealer account the customer confirms that it orders as a business. We may verify the business status and the VAT ID (e.g. through the European Commission's VIES system or the Austrian FinanzOnline).
§ 2 Customer account, prices, VAT
(1) Business customers can register in the shop. We set up dealer accounts after review; we determine a dealer's conditions.
(2) After logging in, the customer sees the net prices of its price list, which we assign and review regularly. All prices are exclusive of VAT and shipping costs.
(3) We charge VAT in accordance with the law. It follows the delivery country, i.e. the country of the order's delivery address (Austria for pickup in Vienna), not the country of the customer's billing address:
Delivery in Austria: A delivery within Austria – including pickup in Vienna – is always charged with 20 % Austrian VAT, with or without a VAT ID.
Delivery to another EU member state: With a valid VAT ID of that member state, confirmed by us, we deliver as a tax-free intra-Community supply. With a confirmed VAT ID of another state – an Austrian one included – we charge 20 % Austrian VAT. Without a confirmed VAT ID – also until it is confirmed – we charge the VAT of the delivery country.
Delivery to a country outside the EU: We deliver as a tax-free export supply. Customs duties and import charges in the country of destination are borne by the customer.
(4) Shipping costs follow the delivery country and the shipping cost scale for the customer's type – business customer or dealer, each net by the net order value – or the arrangement agreed with the customer (Shipping & payment); the ordering process shows them before submission.
§ 3 Conclusion of the contract and changes
(1) By clicking “Order with obligation to pay” the customer makes a binding offer. The confirmation of receipt by e-mail is not yet an acceptance.
(2) We accept the offer: for payment through Stripe with the successful completion of the payment; for prepayment, invoice or direct debit with our order confirmation, our invoice or the dispatch of the goods.
(3) As we pick orders immediately, an order can no longer be changed after it has been submitted. We can only cancel it in the case of an obvious ordering error or as long as we have not yet processed it.
§ 4 Payment
(1) We determine for each customer account which payment methods are available – payment through Stripe, prepayment, invoice or SEPA direct debit; the payment step shows them.
(2) With prepayment the customer receives the invoice with the amount and our bank details by e-mail and transfers the amount only afterwards. As the payment reference it states only the invoice number. We ship once the payment has been received.
(3) Invoices are payable without deduction within the period stated on the invoice. A cash discount applies only if the invoice shows it.
(4) With SEPA direct debit we collect the invoice amount on the basis of the mandate granted; we announce the collection on the invoice.
(5) If the customer is in default, it owes the statutory default interest (§ 456 UGB) and the costs of collection (§ 458 UGB). We may withhold further deliveries until payment.
(6) We offset credit notes: with invoice or prepayment the customer may deduct the amount from its next payment; with SEPA direct debit we deduct it from the next invoice. Otherwise the customer may only set off claims that we have acknowledged or that have been established by a court.
§ 5 Delivery, backorders, transport damage
(1) We usually ship items in stock the same day for orders placed by 12:00 noon on a working day (Monday to Friday, except on Austrian public holidays), otherwise on the next working day. Delivery periods are non-binding unless agreed otherwise; partial deliveries are permitted.
(2) Whether the customer can order quantities beyond our stock depends on its customer account. Quantities not in stock are placed on its backorder list, which it can view in its customer account.
(3) If a dealer chooses the shipping method “Backorder – with your next delivery”, we do not ship the order immediately: the items travel without shipping costs of their own with its next regular delivery. If we ship a subsequent delivery on its own, we charge shipping costs according to the arrangement applicable to the customer.
(4) Pickup in Vienna is only available to customers for whose account we have enabled it.
(5) The risk passes to the customer when the goods are handed over to the carrier.
(6) In the case of visible transport damage the customer should refuse to accept the delivery – otherwise a claim against the carrier is not possible. It reports damage, missing parts and incorrect deliveries to us without delay through support, with meaningful photos of the goods and the shipping packaging.
§ 6 No right of withdrawal, returns
(1) The statutory right of withdrawal applies only to consumers. We take back goods from businesses only by prior agreement.
(2) We cannot process returns without an RMA ticket or without the enclosed return form; we send them back at the sender's expense.
§ 7 Warranty
(1) We warrant for defects existing at the time of delivery for 24 months from the invoice date. If a defect appears only more than 12 months after delivery, the customer must prove that it already existed at the time of delivery.
(2) The customer inspects the goods without delay after delivery and gives notice of apparent defects without delay, and of hidden defects without delay after their discovery (§ 377 UGB).
(3) The customer reports warranty cases through an RMA ticket in its customer account, one ticket per product, with an exact description of the fault and the tests already carried out. Based on our assessment we offer a replacement (for models usually the spare part for self-installation) or a credit note; we do not offer repairs. A return takes place only at our request, with the return form from the ticket. We ship replacement goods free of charge with the customer's next order.
(4) In particular, the following are not defects:
damage caused by improper use or overload (e.g. a speed controller burning out due to an incorrect setup, a battery swelling due to incorrect charging, a crash);
normal wear; batteries are wear parts – only a failure within the first 14 days is accepted;
defects known to the customer at the time of purchase (e.g. B-stock);
consequences of interventions by the customer or third parties (repair attempts, modifications, software manipulation, tuning);
products with a removed, illegible or manipulated serial number.
(5) The customer submits complaints about a delivery (missing parts, incorrect delivery, transport damage) through support, not through an RMA ticket.
§ 8 Liability
(1) We are liable for intent and gross negligence. Liability for slight negligence, for loss of profit, consequential and financial damage is excluded, except for personal injury.
(2) Liability under the Austrian Product Liability Act remains unaffected.
§ 9 Retention of title
(1) The goods remain our property until paid in full. Dealers may resell them in the ordinary course of business.
§ 10 Applicable law, jurisdiction, final provisions
(1) Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules. The place of performance is Vienna.
(2) The place of jurisdiction is the court in Vienna with subject-matter jurisdiction. We may also sue the customer at its general place of jurisdiction.
(3) If these terms exist in several languages, the German version prevails.
(4) If a provision is invalid, the remaining provisions remain valid; the invalid provision is replaced by a valid one that comes closest to its economic purpose.
